Legal
End User License Agreement
Last updated: October 23, 2026
This End User License Agreement (this "Agreement") is a legal agreement between you and Jubilee Health, Inc. ("Jubilee Health," "we," "us," or "our") governing your access to and use of the Jubilee Health software platform made available at app.jubilee-health.com and any other address from which we operate it, including the workspaces we provide to medical practices, accounting firms, management services organizations, IT providers, and billing companies, together with the related support services (collectively, the "Services"), and of our website at jubilee-health.com (the "Site").
PLEASE READ THIS AGREEMENT CAREFULLY. BY ACCESSING OR USING THE SERVICES OR THE SITE, YOU AGREE TO BE BOUND BY THIS AGREEMENT AND BY OUR PRIVACY POLICY, WHICH IS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICES OR THE SITE. IF YOU ARE ACCEPTING THIS AGREEMENT ON BEHALF OF AN ORGANIZATION, YOU REPRESENT THAT YOU HAVE AUTHORITY TO BIND THAT ORGANIZATION, AND "YOU" REFERS TO THAT ORGANIZATION AND TO YOU AS ITS AUTHORIZED USER.
1. Definitions
- "Customer" means an organization that has agreed to this Agreement or to a separate written agreement with us for the use of the Services, including a medical practice (a "Practice") and any Counterparty.
- "Counterparty" means an organization that a Practice invites to the Services to view the Practice's information, such as its accounting firm, management services organization, IT provider, or billing company.
- "Authorized User" means an individual whom a Customer has authorized to access the Services on its behalf.
- "Customer Data" means information that a Customer or its Authorized Users submit to the Services, or that we retrieve from a Connected Service at a Customer's direction, including Protected Health Information.
- "Connected Service" means a third-party system that a Customer connects to the Services at its own direction, such as its accounting, electronic health record, payroll, patient-communication, or payment system.
- "Ledger Restructuring Authorization" means a separate written authorization, signed by a Practice, under which we may make the changes to the Practice's QuickBooks Online company described in Section 7.2.
- "EHR Write Authorization" means a separate written authorization, signed by a Practice, under which we may add claim notes and claim attachments to the Practice's electronic health record as described in Section 7.3.
- "Business Associate Agreement" means the business associate agreement between a Customer and us governing Protected Health Information.
- "Protected Health Information" or "PHI" has the meaning given to it under the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations.
- "AI Features" means the features of the Services described in Section 9.
2. Scope; Order of Precedence
If a Customer has entered into a separate written agreement with us, such as platform terms, an order confirmation, a Business Associate Agreement, or a Ledger Restructuring Authorization, that agreement governs to the extent it conflicts with this Agreement, in the following order of precedence: (a) the Business Associate Agreement, with respect to PHI; (b) the signed platform terms and any order confirmation; (c) this Agreement; and (d) the Privacy Policy. This Agreement governs each Authorized User's individual use of the Services in all cases.
3. Eligibility; Accounts; Authorized Users
3.1 Organizations and individuals. The Services are licensed to Customers. You may access the Services only as an Authorized User of a Customer, under your own account. Anonymous use is not permitted.
3.2 Account responsibility. You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity under your account. You agree to notify us promptly at security@jubilee-health.com of any unauthorized use of your account. A Customer's administrators may add and remove Authorized Users and assign roles, and we may suspend or remove an Authorized User's access as this Agreement provides.
4. License Grant; Reservation of Rights
Subject to your compliance with this Agreement, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for the internal business purposes of the Customer that authorized you, for so long as you remain an Authorized User. The Services are licensed, not sold. We and our licensors retain all right, title, and interest in and to the Services, including all software, rules, prompts, templates, report formats, and documentation, and all intellectual property rights therein. No rights are granted to you except as expressly set forth in this Agreement.
5. Restrictions
You shall not, and shall not permit any third party to:
- share your sign-in credentials, or permit any individual who is not an Authorized User to access the Services;
- copy, modify, translate, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services, or sell, resell, sublicense, lease, or otherwise redistribute access to the Services;
- access the Services by automated means, including scripts, bots, scrapers, crawlers, or browser extensions that read the Services, except through an interface we document for that purpose and under a credential we issue for it;
- use the Services, their output, their rules, or their reports to train, fine-tune, evaluate, or improve any machine-learning model, or to develop or assist in developing any product or service that competes with the Services;
- publish or disclose any benchmark or performance comparison of the Services without our prior written consent;
- access or attempt to access data belonging to any Customer other than the Customer that authorized you, or circumvent or attempt to circumvent any access control or security measure of the Services;
- introduce any virus, malicious code, or other harmful material, or use the Services in violation of any applicable law or the rights of any third party;
- export or disclose a Practice's financial, patient, or employee information outside the Practice, except as the Practice permits and applicable law allows;
- access information about a patient or an employee for any purpose other than the Customer's own business purpose in using the Services; or
- submit PHI to any plan or feature of the Services that is not covered by a Business Associate Agreement with us. The free plan does not hold patient data.
6. Customer Data
6.1 Ownership. As between the parties, the Customer owns its Customer Data, including, for a Practice, its accounting records, the patient billing and encounter data from its electronic health record, its employee payroll records, its patient-communication records, and the files it uploads, together with any output derived from that data that is specific to the Customer. A Counterparty owns the data it brings to the Services.
6.2 Our use of Customer Data. We act as the Customer's service provider. We process Customer Data solely to provide, maintain, and secure the Services for the Customer, in accordance with this Agreement, the Privacy Policy, and any applicable Business Associate Agreement. We do not sell Customer Data, we do not use it for advertising, and we do not use it to train machine-learning models.
6.3 De-identified data. We may create de-identified, aggregated statistics from Customer Data and use them, including in benchmarks shown to other Customers. De-identification follows the standard set out in the applicable Business Associate Agreement, and no published figure is derived from fewer than eleven underlying records.
6.4 Protected Health Information. Patient data is PHI. We receive and maintain it as the Customer's business associate under a Business Associate Agreement, which governs PHI to the exclusion of any conflicting provision of this Agreement.
7. Connected Services
7.1 Read access. The Services read from the systems a Customer connects or exports from, at the Customer's direction. Except for the changes a Practice authorizes under Section 7.2 or Section 7.3, the Services do not write to any Connected Service. The Services do not initiate any payment, transfer, or other financial transaction, do not create, submit, or delete any claim, do not alter the codes, charges, or clinical content of any patient's medical record, and do not file anything with any third party. The Customer's books of record, electronic health record, and payroll system remain in place under the Customer's own accounts with those vendors, and are unaffected if the Customer ceases to use the Services.
7.2 QuickBooks Online. Upon the Practice's authorization of the connection within QuickBooks Online, we read the Practice's reports and chart of accounts as described in the Privacy Policy. We make no change to the Practice's QuickBooks Online company unless the Practice has executed a Ledger Restructuring Authorization identifying the QuickBooks Online company, attaching the conversion plan, naming the Practice's approver, and confirming that the Practice's accountant has reviewed it. Under that authorization, and only under it, we may set up the standard chart of accounts in a new or empty company, or convert an existing chart of accounts to it by adding, renaming, renumbering, and inactivating accounts, repointing product and service income accounts, recategorizing transactions, and posting reclassifying journal entries. We do not delete transactions, we do not merge accounts, and we leave filed tax years as filed unless the Practice's accountant directs otherwise. Each change is approved by a named individual and recorded with its prior and subsequent state, and the Practice may request that the changes be reversed, in which case each change we made is reversed and any changes made subsequently by others are listed for the Practice's review. A Ledger Restructuring Authorization may be withdrawn at any time; withdrawal prevents further changes and does not reverse changes already approved unless the Practice requests reversal. Output of the AI Features is never written to QuickBooks Online; each change is reviewed and approved by a person.
7.3 Electronic health records and other Connected Services. A connection to an electronic health record is made solely under the Practice's own authorization with that vendor, for so long as that authorization remains in effect, and is read-only unless the Practice has executed an EHR Write Authorization naming the electronic health record, the Practice's approvers, and the locations and providers it covers. Under that authorization, and only under it, we may add a note to a claim or attach a document to a claim. Each note or document is proposed by the Services, reviewed and approved by a named member of the Practice's staff before it is sent, sent once, confirmed by reading it back, and recorded with the approver and the time. We do not create, submit, or delete claims, we do not change codes, charges, diagnoses, or clinical content, and a note is corrected only by adding a further note. Output of the AI Features is never written to an electronic health record without that approval. An EHR Write Authorization may be withdrawn at any time, and withdrawal stops further writes. A payroll connection is read-only. Where the Services assist in preparing a message to a patient, a member of the Practice's staff reviews and sends the message from the Practice's own system, and the Practice is solely responsible for obtaining the consents and opt-ins required by applicable law for any message it sends.
7.4 Disconnection. A Customer may disconnect any Connected Service at any time from within the Services, from the vendor's own settings, or by written notice to us. Upon disconnection, we cease reading from that system, revoke or delete the authorization tokens we hold for it, and handle the data previously retrieved as described in Section 10 of the Privacy Policy.
7.5 Third-party terms; no affiliation. Your use of QuickBooks Online (Intuit Inc.), Google and Microsoft sign-in, your electronic health record, payroll, communications, and payment providers, and Claude (Anthropic PBC) is governed by those parties' own terms and privacy policies. Jubilee Health, Inc., and not any such party, is the licensor of the Services and the party responsible for the Services, for their support, and for their use of Customer Data. We are not responsible for the availability, accuracy, or conduct of any third-party service, and no third-party service provider is responsible for the Services. Jubilee Health is not affiliated with, sponsored by, or endorsed by Intuit or by any other vendor named in this Agreement. Intuit and QuickBooks are registered trademarks of Intuit Inc. Used with permission.
8. Counterparty Access
A Practice may invite its accounting firm, management services organization, IT provider, billing company, or another vendor to a scoped view of the Practice's information within the Services. Inviting a Counterparty is free of charge and unlimited; a Counterparty pays only for its own workspace, if it elects one. The Practice determines the scope of each Counterparty's access and may narrow or revoke it at any time. A Counterparty shall view the Practice's information only within the Services, shall use it solely to provide services to that Practice, shall not export or further disclose it, and is bound by this Agreement and by any confidentiality or business associate obligations it owes to the Practice. Professional work performed by a Counterparty on the basis of the information it views is the Counterparty's own, under its own engagement with the Practice, and not ours.
9. AI Features and AI-Generated Content
Certain features of the Services use Claude, an artificial intelligence assistant operated by Anthropic PBC, to answer questions, review the categorization of ledger entries, draft recommendations and reports, and model scenarios. Output of the AI Features is provided as decision support for Authorized Users. It does not constitute medical, legal, accounting, or tax advice and is not a substitute for professional judgment. You shall review AI-generated output before acting upon it; output of the AI Features does not modify any Connected Service on its own. We do not warrant that AI-generated content is accurate or complete. AI-generated text is labeled as such within the Services, and every figure displayed in the Services is drawn from the records we hold rather than from the AI service, so that it may be verified against its source. The information transmitted to, and withheld from, the AI service is described in Section 5 of the Privacy Policy; patient records are not made available to the AI service, and no information provided by you or your Customer is used to train any model.
10. No Professional Advice
The Services present information to support your own decisions. The Services do not provide accounting, tax, legal, investment, or medical advice and do not replace your accountant, attorney, or clinical judgment. We are not a health care provider or a health plan, and we do not verify the clinical accuracy of any record received from an electronic health record. The Customer's books of record, and its accountant of record, remain authoritative. You should verify any figure against the source system before relying on it for a filing, a valuation, or any other consequential decision.
11. Demonstration and Illustrative Data
Portions of the Services, and the entirety of our demonstration environment, may display clearly labeled simulated or sample data, for example while a connection is in a test mode or a source system is not yet connected. Each such figure is identified as illustrative within the Services. Illustrative data is not a record of any Customer's activity and shall not be relied upon as such.
12. Fees and Payment
The fees for paid plans are confirmed in writing when a Customer subscribes. Fees are the flat amounts stated for the applicable plan and are not based on, and do not vary with, the amounts a Practice collects from patients or payors. The AI Features are available on paid plans only. We will provide at least thirty days' written notice before a trial or design-partner plan begins to incur charges, and at least sixty days' written notice of any price increase, which will take effect no earlier than the Customer's next renewal. Fees are stated in United States dollars and are exclusive of taxes. Fees for a plan term remain payable if the Customer disconnects a Connected Service during that term; termination of a subscription is governed by Section 18.
13. Modifications; Availability; Support
The Services are provided on an as-available basis. We may modify, suspend, or discontinue any part of the Services, and we may perform maintenance that renders the Services temporarily unavailable. We do not commit to any particular level of availability unless agreed in a separate written agreement with the Customer. We will not materially reduce functionality for which a Customer is paying during a paid term without offering a pro-rated refund of the unused portion. Support requests may be directed to the contact in Section 23.
14. Security; Incident Notification
We maintain the safeguards described in Section 11 of the Privacy Policy. If we become aware of a security incident affecting a Customer's information, we will notify the Customer without unreasonable delay and within the time required by its Business Associate Agreement with us, and we will notify any Connected Service provider within the time its terms require. Security concerns may be reported to security@jubilee-health.com. You shall not test the Services for vulnerabilities without our prior written permission.
15. Feedback; Confidentiality of the Services
If you provide suggestions or feedback regarding the Services, we may use them without restriction or obligation to you. The rules, prompts, templates, and report formats of the Services are our confidential information, and you shall not disclose them to any third party or use them for any purpose other than your use of the Services under this Agreement.
16. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY FIGURE DISPLAYED IN THE SERVICES IS FREE FROM ERROR. ANY EXPRESS WARRANTIES GIVEN TO A CUSTOMER IN A SEPARATE SIGNED AGREEMENT ARE THE ONLY WARRANTIES WE MAKE.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JUBILEE HEALTH, INC. OR ITS DIRECTORS, OFFICERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE SERVICES OR THE SITE, UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY THE CUSTOMER FOR THE SERVICES DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED UNITED STATES DOLLARS (US$100). THE FOREGOING LIMITATION DOES NOT APPLY TO OUR OBLIGATIONS UNDER A BUSINESS ASSOCIATE AGREEMENT OR TO A BREACH OF CONFIDENTIALITY, WHICH ARE ADDRESSED IN THE CUSTOMER'S SIGNED PLATFORM AGREEMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OR EXCLUSIONS, IN WHICH CASE THE FOREGOING APPLIES TO THE MAXIMUM EXTENT PERMITTED.
18. Term; Suspension; Termination
18.1 Term. This Agreement is effective upon your first access to the Services or the Site and continues until terminated.
18.2 Termination by you. You may cease using the Services at any time. A Customer's subscription terminates as its separate signed agreement provides; absent such an agreement, either party may terminate the subscription upon thirty days' written notice.
18.3 Suspension and termination by us. We may suspend or terminate your access immediately if you breach this Agreement, if the Customer that authorized you withdraws your authorization, or if we discontinue the Services.
18.4 Effect of termination. Upon termination of a Customer's use of the Services, the Customer may export its Customer Data in a machine-readable format for thirty days, after which we delete it, and PHI is returned or destroyed as the Business Associate Agreement provides. Sections 4 through 6, 9, 10, 15 through 17, 19, 21, and 22 survive termination.
19. Governing Law; Venue
This Agreement is governed by the laws of the State of Maryland, without regard to its conflict-of-laws principles. The state and federal courts located in Maryland shall have exclusive jurisdiction over any dispute arising out of or relating to this Agreement or the Services, and you consent to the personal jurisdiction of and venue in those courts.
20. Changes to This Agreement
We may update this Agreement from time to time. The revised Agreement will be posted at this address with a new "Last updated" date, and material changes will be communicated to Customers before they take effect. Your continued use of the Services or the Site after a change takes effect constitutes acceptance of the revised Agreement.
21. Website Terms
You may browse the Site and submit the waitlist form. You shall not probe, disrupt, or attempt to gain access to the Site beyond what it offers, and you shall not copy the Site by automated means. We maintain the accuracy of the statements on the Site: features described as available are available, integrations listed exist, and forward-looking statements are identified as such. The content of the Site is provided for informational purposes and does not constitute an offer, a quotation, or professional advice; the capabilities and pricing of the Services are confirmed in writing in the course of the sales process. The content, design, and marks of the Site are the property of Jubilee Health, Inc. or their respective owners; any third-party product or company name appearing on the Site is the trademark of its owner and is used solely to identify the systems with which the Services interoperate. Sections 16 and 17 apply to the Site.
22. General Provisions
22.1 Entire agreement. This Agreement, together with the Privacy Policy and subject to Section 2, constitutes the entire agreement between you and Jubilee Health, Inc. with respect to the Services and the Site and supersedes all prior or contemporaneous understandings on that subject.
22.2 Severability; waiver. If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later.
22.3 Assignment. You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement to a successor to the business that assumes these obligations.
22.4 Notices. Notices to us shall be sent to legal@jubilee-health.com. Notices to a Customer are sent to the administrative contact on the Customer's account.
22.5 Force majeure. Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, except for payment obligations.
22.6 Independent contractors. The parties are independent contractors, and nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship.
